Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and New Compass Media ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our services.

Services

New Compass Media provides digital marketing services including, but not limited to:

• Website design and development
• Search engine optimization (SEO)
• Pay-per-click advertising management
• Social media marketing and management
• Email marketing
• Branding and graphic design
• Content creation

The specific scope of services will be outlined in individual project proposals and agreements.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the completion of services
• Respond to requests for approvals, content, and feedback in a timely manner
• Ensure you have the rights to any content, images, or materials you provide
• Make payments according to the agreed-upon schedule
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose

Project Timeline and Deliverables

Project timelines and deliverables will be specified in individual project proposals. While we strive to meet all deadlines, timelines may be affected by:

• Delays in receiving client feedback or approvals
• Changes to project scope
• Third-party dependencies
• Unforeseen technical issues

We will communicate any anticipated delays and work with you to establish revised timelines.

Payment Terms

Payment terms will be outlined in individual project proposals. General terms include:

• A deposit may be required before work begins
• Progress payments may be required at specified milestones
• Final payment is due upon project completion
• Late payments may incur additional fees
• All prices are in US dollars unless otherwise specified

We accept payment via credit card, bank transfer, or other methods as agreed upon.

Intellectual Property

Client Materials

You retain all rights to any content, logos, images, or materials you provide to us. You grant us a limited license to use these materials solely for the purpose of providing our services.

Deliverables

Upon full payment, you will own the final deliverables created specifically for your project, including custom website designs and content. However, we retain ownership of:

• Pre-existing materials and tools
• General concepts, techniques, and know-how
• Third-party components (which are subject to their own licenses)

Portfolio Rights

We reserve the right to display completed work in our portfolio, marketing materials, and case studies unless otherwise agreed upon in writing.

Revisions and Changes

The number of revisions included in a project will be specified in the project proposal. Additional revisions beyond the included amount may incur additional fees.

Significant changes to project scope may require a new proposal and may affect the project timeline and cost.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• We do not guarantee specific results from marketing campaigns, including search engine rankings, traffic, or conversions
• Results depend on many factors outside our control, including market conditions, competition, and algorithm changes
• Our services are provided "as is" without warranties of any kind, express or implied

Limitation of Liability

To the maximum extent permitted by law:

• New Compass Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or relating to our services shall not exceed the amount paid by you for the services giving rise to the claim
• We are not liable for any delays or failures in performance resulting from circumstances beyond our reasonable control

Indemnification

You agree to indemnify and hold harmless New Compass Media, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your breach of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate the service agreement:

• By providing written notice as specified in the project agreement
• Immediately if the other party breaches any material term of these Terms or the project agreement

Upon termination, you are responsible for payment of all services rendered up to the termination date. Any deposits or payments made for work not yet completed may be refundable at our discretion.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. This includes, but is not limited to, business strategies, client data, pricing information, and trade secrets.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Colorado.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of our services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
